These Terms and Conditions are a legally binding agreement between you, whether individually or on behalf of an entity ("you") and Lyrist ("we," "us," or "our"), regarding your access to and use of our Mobile Application, Lyrist (the "App," or “Application”). By installing and using the App, you acknowledge that you have read, comprehended, and agree to be bound by all of these Terms and Conditions of Use. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, YOU ARE EXPLICITLY PROHIBITED FROM USING THE APP AND MUST IMMEDIATELY CEASE USE. Additional terms and conditions and documents that may be posted on our Site from time to time are expressly typically integrated into this Agreement. We retain the right to amend or modify these Terms and Conditions at any time and for any reason. We shall notify you of any changes by revising the "Last updated" date at the bottom of these Terms and Conditions, and you waive any claim to particular notice of each such change. It is your obligation to examine these Terms and Conditions on a regular basis to ensure you are aware of any changes. By continuing to use the App after the date such amended Terms are posted, you will be subject to, and will be deemed to have been made aware of, and to have acknowledged, the changes in such updated Terms and Conditions. The App is not intended for distribution to or use by any individual or organization in any jurisdiction or country where such distribution or use would violate applicable law or regulation or would subject us to any registration obligation within such jurisdiction or country. As a result, users who access the App from other places do so at their own risk and are solely responsible for compliance with applicable local laws, if and to the extent applicable. Users must be at least 13 years old to use the App. Individuals under the age of 13 may not register for the App.

Unless otherwise specified, the App is our proprietary property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics contained therein (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (collectively, the "Marks"), are owned or controlled by us or licensed to us and are secured by copyright and trademark laws, as well as various other intellectual property and unfair competition laws. The App provides the Content and Marks "AS IS" for your information and personal use. Except as expressly provided in these Terms of Use, no portion of the App, nor any Content or Marks, may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose. You are granted a limited license to access and use the App, as well as to download or print a copy of any portion of the Content to which you have obtained proper access, only for your personal, non-commercial use. We retain all rights in and to the App, Content, and Marks that are not expressly granted to you.

By accessing and using the Application, you represent and warrant that:
• Any registration information you give is true, accurate, current, and complete.
• You agree to preserve the correctness of such information and to promptly update it as necessary.
• You possess legal ability and agree to abide by these Terms of Use.
• You are not a minor in the jurisdiction in which you reside, or you have parental permission to use the App if you are a minor.
• You will not access the App in an automated or non-human manner, including through the use of a bot, script, or other automated or non-human methods.
• You agree not to use the App for any illegal or unauthorized purpose and to abide by all applicable laws and regulations. We have the right to suspend or terminate your account and refuse any and all current or future use of the App if you provide any information that is untrue, inaccurate, out of date, or incomplete.

You will be required to register with the App. You agree to maintain the confidentiality of any passwords and are solely responsible for any and all use of your account. We have the right to remove, reclaim, or change a username you choose if we believe it is incorrect, obscene, or otherwise objectionable.

Use License We grant you a revocable, non-exclusive, non-transferable, limited license to install and use the mobile application on wireless electronic devices that you own or control, and to access and use the mobile application strictly in accordance with the terms and conditions of this mobile application license as set forth in these Terms of Use.

By submitting an order, you are making an offer to purchase a product on and subject to the terms and conditions set out below. All orders are subject to confirmation of availability and the order price. Lyrist reserves the right to deny any purchase request you make. When you place an order with us, you warrant that all information you give is true and accurate, that you are the authorized user of the credit or debit card used to place the order, and that there are adequate funds to cover the cost of the goods. All advertised prices are subject to change.
• Our Contract When you place an order, you will receive an acknowledgement e-mail confirming receipt of your order.
• Pricing and Availability While we make every effort to guarantee that the information, descriptions, and prices on this App are accurate, errors may occur. If we uncover an error in the pricing of any products you have ordered, we will notify you immediately and provide you the choice of reconfirming your order at the correct price or canceling it. If we are unable to contact you, the order will be cancelled. You will not receive a refund if you cancel after paying for the products. If the products have been fully delivered or if the service is fully rendered and you decide to cancel, no refund will be given.
• Repurchase If you wish to repurchase a product from a vendor, you must do it exclusively through the App and not directly with the vendor.

You are not permitted to:
• Decompile, reverse engineer, deconstruct, or attempt to decode the application's source code.
• Modify, adapt, improve, enhance, translate, or create derivative works from the application.
• In conjunction with your access to or use of the application, you agree not to break any applicable laws, rules, or regulations.
• Obliterate, change, or obscure any proprietary notice (including any copyright or trademark notice) posted by us or the application's licensors.
• Use the application for any revenue-generating venture, commercial enterprise, or other purpose not intended or developed.
• Make the application accessible via a network or other environment that enables simultaneous access or use by numerous devices or users.
• Utilize the application to develop a product, service, or piece of software that is either directly or indirectly competitive with or a substitute for the application.
• Utilize the application to make automated requests to any website or to send any unsolicited commercial e-mail.
• Utilize any proprietary information, any of our interfaces, or any of our other intellectual property in the design, development, production, licensing, or distribution of any apps, accessories, or devices used in conjunction with the application.
• You are not permitted to access or use the App for any purpose other than those for which we provide it. The App may not be used for any commercial ventures other than those that we have expressly authorized or approved.
• Degrade, tarnish, or otherwise harm us and/or the App.

The App may invite you to chat, contribute to, or participate in blogs, message boards, and online forums, as well as provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the App, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions"). Contributions may be accessed by other App users and third-party websites. As a result, any Contributions you make may be considered non-confidential and non-proprietary. By creating or making Contributions available, you represent and warrant that:
• The creation, distribution, transmission, public display, or performance of your Contributions, as well as their access, download, or copying, do not and will not infringe any third party's intellectual rights, including but not limited to copyright, patent, trademark, trade secret, or moral rights.
• You are the creator and owner of your Contributions or have the appropriate licenses, rights, consents, releases, and permissions to use and authorize us, the App, and other App users to use them in any manner contemplated by the App and these Terms of Use.
• You have obtained the written approval, release, and/or permission of each identifiable individual person included in your Contributions to use their name or likeness to permit the inclusion and use of your Contributions in any manner contemplated by the App and these Terms of Use.
• Your Contributions are not incorrect, erroneous, or deceptive.
• Your Contributions do not constitute unsolicited or illegal advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or any other kind of solicitation.
• Your Contributions are not pornographic, vulgar, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise inappropriate (as determined by us).
• Your Contributions are free of scorn, mockery, disparagement, intimidation, or abuse.
• Your Contributions do not advocate for the violent overthrow of any government or urge, encourage, or threaten any person to commit bodily harm.
• No applicable law, regulation, or rule is violated by your Contributions.
• Your Contributions do not breach any third party's privacy or publicity rights, nor do they contain any material that solicits personal information from children under the age of 18 or exploits children under the age of 18 sexually or violently.
• Your Contributions do not violate any federal or state law against child pornography or otherwise protecting kids' health or well-being; your Contributions do not contain any insulting statements on race, national origin, gender, sexual orientation, or physical handicap.
• Otherwise, your Contributions do not violate any aspect of these Terms of Use or any applicable law or regulation, or contain links to anything that does. Any use of the App in violation of the preceding violates these Terms of Use and may result in the termination or suspension of your rights to use the App, among other consequences.

By posting your Contributions to any part of the App or making Contributions accessible to the App by linking your account from the App to any of your social networking accounts, you automatically grant, and you represent and warrant that you have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, your image and voice) for any purpose, commercial, advertising, or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing. The usage and distribution of the work may take place in any media format and via any media channels. This license extends to all forms, media, and technologies now known or hereafter developed, and includes our use of your name, company name, and franchise name, as applicable, as well as any trademarks, service marks, trade names, logos, and personal and commercial images you give. You relinquish any moral rights in your Contributions and warrant that no other moral rights have been asserted in them. We make no claim to ownership of your Contributions. You retain complete ownership of your Contributions, as well as any intellectual property or other proprietary rights associated with them. We are not responsible for any statements or representations made by you in any section of the App. You alone are responsible for your Contributions to the App, and you expressly agree to absolve us of any liability and to refrain from bringing any legal action against us in connection with your Contributions. We reserve the right, in our sole and absolute discretion, to edit, redact, or otherwise modify any Contributions; to re-categorize any Contributions in order to better locate them on the App; and to pre-screen or delete any Contributions at any time and for any reason, without notice. We are under no duty to keep an eye on your Contributions.

We may include locations inside the App for you to leave reviews or ratings. When submitting a review, you must adhere to the following guidelines:
• You should have direct familiarity with the individual/entity under consideration.
• Your reviews must be free of profanity, as well as abusive, racist, insulting, or hateful language.
• Your evaluations should be free of references that are discriminatory in nature due to religion, race, gender, national origin, age, marital status, sexual orientation, or disability.
• Your reviews must be free of allusions to unlawful activities.
• If you write unfavorable evaluations, you should not be linked with competitors.
• You should not draw any inferences on the legality of conduct.
• You are not permitted to make any false or deceptive statements.
• You are not permitted to create a campaign encouraging others to leave reviews, positive or negative, on your site. We reserve the right to approve, reject, or delete reviews at our sole discretion. We are under no responsibility to screen or delete reviews, even if we believe they are disagreeable or false. We do not endorse reviews, and they may not always reflect our views or the views of any of our affiliates or partners. We make no representations or warranties regarding any review or any claims, liabilities, or losses stemming from such review. By submitting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable right and license to reproduce, alter, translate, transmit via any medium, display, perform, and/or distribute all content associated with reviews.

As part of the App's functionality, you may link your account to online accounts with third-party service providers (each such account, a "Third-Party Account") by providing your Third-Party Account login information through the App or by granting us access to your Third-Party Account, as permitted by the applicable terms and conditions governing your use of each Third-Party Account. You represent and warrant that you are authorized to disclose your Third-Party Account login information to us and/or to grant us access to your Third-Party Account, without violating any of the terms and conditions governing your use of the applicable Third-Party Account, and without requiring us to pay any fees or subjecting us to any usage limitations imposed by the Third-Party Account's third-party service provider. By allowing us access to any Third-Party Accounts, you agree that we may access, make available, and store (as applicable) any content that you provide to and store in your Third-Party Account (the "Social Network Content") for use on and through the App via your account, including without limitation any friend lists, and that we may submit to and receive from your Third-Party Account additional information to the extent you are notified when you liaise with us. Depending on the Third-Party Accounts you choose and their privacy settings, personally identifiable information that you publish to your Third-Party Accounts may be accessible on and through your account on the App. Please keep in mind that if a Third-Party Account or associated service becomes unavailable or if the third-party service provider terminates our access to such Third-Party Account, Social Network Content may become unavailable on and through the App. You will always have the option of disabling the link between your App account and your Third-Party Accounts. REMEMBER THAT YOUR RELATIONSHIP WITH THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS SOLELY GOVERNED BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS. We make no attempt to examine any Social Network Content for any purpose, including but not limited to accuracy, legality, or non-infringement, and we disclaim any responsibility for such Social Network Content. You understand and agree that we may access your email address book associated with a Third-Party Account and your contacts list stored on your mobile device or tablet computer only for the purpose of identifying and notifying you of contacts who have registered to use the App. You can disconnect the App from your Third-Party Account by contacting us via the contact information provided below or through your account settings (if applicable). We shall make every effort to erase any information received through such Third-Party Account from our servers, except for the username and profile image linked with your account.

You understand and agree that any questions, comments, suggestions, ideas, feedback, or other information you give to us regarding the App ("Submissions") are non-confidential and will become our exclusive property. We shall own exclusive rights, including all intellectual property rights, to these Submissions and shall be entitled to use and distribute them in any lawful manner, commercial or otherwise, without acknowledgment or compensation to you. You hereby renounce all moral rights in any such Submissions and warrant that such Submissions are your original work or that you have the legal right to submit them. You acknowledge that you will have no recourse against us in the event of any alleged or actual infringement or misappropriation of any proprietary right contained in your Submissions.

The App may contain (or you may be directed to) connections to other websites ("Third-Party Websites"), as well as articles, images, text, graphics, pictures, designs, music, sound, video, information, apps, and software belonging to or originated from third parties ("Third-Party Content"). We do not investigate, monitor, or check Third-Party Websites or Third-Party Content for accuracy, appropriateness, or completeness, and we are not responsible for any Third-Party Websites accessed via the App or any Third-Party Content posted on, available through, or installed from the App, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. By including, linking to, or allowing the use or installation of any Third-Party Websites or Third-Party Content, we do not imply our approval or endorsement. If you leave the App and access Third-Party Websites or use or install Third-Party Content, you do so at your own risk and should be aware that these Terms of Use will no longer apply. You should evaluate the applicable terms and policies, including privacy and data collection practices, of any website that you access via the App or any applications that you use or install using the App. Any purchases you make through Third-Party Websites will be made through other websites and firms, and we will bear no responsibility for such purchases, which are solely between you and the applicable third party. You agree and accept that we do not support the products or services offered on Third-Party Websites and that you will indemnify us against any harm resulting from your purchase of such items or services. Additionally, you agree to indemnify us for any damages or harm you incur as a consequence of or in connection with any Third-Party Content or contact with Third-Party Websites.

Advertisers may place adverts and other information in particular parts of the App, such as sidebar or banner advertisements. If you are an advertiser, you are entirely responsible for any advertisements you publish on the App, as well as any services or products delivered through those advertisements. Additionally, as an advertiser, you warrant and represent that you have all necessary rights and authority to put advertisements on the App, including intellectual property rights, publicity rights, and contractual rights. We merely provide space for marketers to put such advertising and have no further interaction with them.

We reserve the right, but are not required, to:
• Surveillance of the App for any violations of these Terms of Use.
• Take appropriate legal action against anybody who violates the law or these Terms of Use in our sole discretion, including but not limited to reporting such user to law enforcement authorities.
• Without limiting the above, we reserve the right to deny, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof.
• At our sole discretion and without limitation, notice, or liability, to delete or disable from the App any files or content that are excessive in size or otherwise burdensome to our systems.
• Otherwise manage the App in a way that protects our rights and property and that enables the App to function properly.

We are concerned with the privacy and security of your data. Kindly examine our Privacy Policy. By accessing or using the App, you agree to our Privacy Policy, which is incorporated into these Terms of Use.

We are mindful of others' intellectual property rights. If you feel that any material available on or through the App violates any copyright rights that you own or control, please contact us promptly using the contact information given below (a "Notification"). A copy of your Notification will be given to the individual who posted or stored the item that was the subject of your Notification. Please be aware that you may be held accountable for damages under federal law if you make substantial misrepresentations in a Notification. Thus, if you are unsure if information contained on or linked to by the App violates your copyright, you should consult an attorney first.

These terms of use will remain in effect while you are using the app. Without limiting any other clause of these terms of use, we retain the right, in our sole discretion and without prior notice or liability, to restrict access to and use of the app to any person for any reason or no reason, including, without limitation, for violation of any representation, warranty, or covenant contained in these terms of use or of any applicable law or regulation. We reserve the right to cancel your usage or participation in the app, as well as to remove your account and any content or information you upload, at any time and without notice. If your account is terminated or suspended for any reason, you are banned from registering and creating a new account in your name, a fictitious or borrowed name, or the name of any third party, even if you are acting on behalf of the third party. Along with cancelling or suspending your account, we reserve the right to pursue appropriate legal remedies, including but not limited to civil, criminal, and injunctive relief.

We reserve the right, at our sole discretion, to change, modify, or eliminate the contents of the App at any time and for any reason. We are not required, however, to update any information on our App. Additionally, we retain the right to alter or discontinue the App in whole or in part at any time and without notice. We will have no liability to you or any third party in the event of the App's modification, price change, suspension, or discontinuation. We cannot promise that the App will always be available. We may encounter hardware, software, or other issues or require maintenance on the App, which may result in interruptions, delays, or errors. We reserve the right, at any time and for any reason, to change, amend, update, suspend, discontinue, or otherwise modify the App. You acknowledge that we are not liable for any loss, damage, or inconvenience incurred as a result of your inability to access or use the App during any downtime or discontinuance of the App. Nothing in these Terms of Use shall be understood as requiring us to maintain and support the App, or to provide any corrections, updates, or releases in connection with the App.

These Terms of Use and your use of the App are governed by and construed in accordance with the laws of UAE without regard to its conflict of law principles.

Vendors are solely responsible for resolving any disputes regarding their products/services. Lyristis responsible for any matters relating to the application, which shall be decided in the court of Dubai.

There may be typographical errors, inaccuracies, or omissions in the App's content, including but not limited to descriptions, pricing, availability, and various other information. We retain the right, without prior notice, to correct any mistakes, inaccuracies, or omissions and to modify or update the information contained in the App.

The application is supplied "as-is" and "as-available." You acknowledge and accept that your use of the app services is entirely at your own risk. To the maximum extent permissible by law, we disclaim all warranties, express or implied, with respect to the app and your use of it, including, without limitation, implied warranties of merchantability, fitness for a specific purpose, and non-infringement. We offer no guarantees or representations concerning the app's content or the content of any websites linked to this app, and we disclaim all liability and responsibility for any:
• Content and significant errors, omissions, or inaccuracies.
• Personal injury or property damage of any kind resulting from your access to and use of the app is not covered by this agreement.
• Any unauthorized access to or use of our secure systems, including any and all personal and financial information kept on them.
• Any halt or termination of transmission to or from the application.
• Any bugs, viruses, trojan horses, or other malicious software that may be delivered to or through the app by a third party.
• Any inaccuracies or omissions in any content or materials, or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available by the app. We make no representations, warranties, or guarantees about any product or service advertised or offered by a third party through the app, any hyperlinked website, or any website or mobile application featured in any banner or other advertising, and we will not be a party to or in any way responsible for monitoring any transaction between you and any third-party providers of products or services. As with any purchase of a product or service made via any medium or in any setting, you should use caution when necessary.

We, our directors, employees, or agents will not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, data loss, or other damages, arising from your use of the app, even if we have been advised of the possibility of such damages. The vendor is responsible for the products, not us. We only act as a conduit between customers and vendors via the app. If a product is damaged during the warranty period, you can arrange for a replacement directly with the vendor.

You agree to indemnify, defend, and hold harmless us, our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:
• Contributions from you.
• Utilizing the App.
• A violation of our Terms of Service.
• Any breach of the representations and warranties contained in these Terms of Use by you.
• Your infringement of another person's rights, including but not limited to intellectual property rights.
• Any overtly damaging behavior directed at another App user with whom you have connected via the App. Despite the foregoing, we retain the right to assume exclusive defense and control of any matter for which you are obligated to indemnify us at your expense, and you agree to cooperate with our defense of such claims at your expense. We will make reasonable efforts to tell you immediately upon becoming aware of any such claim, action, or process that is subject to this indemnity.

We will store certain data that you provide to the App in order to manage it, as well as data about your use of the App. Although we maintain frequent data backups, you are solely responsible for all data that you communicate or that is associated with any action you perform while using the App. You agree that we shall have no obligation to you for any loss or corruption of such data, and you hereby waive any claim against us for such loss or corruption.

Electronic communications include using the App, sending us emails, and completing online forms. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications that we send to you electronically, via email or through the App, fulfill any legal requirement that such communications be in writing. YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AS WELL AS TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR THROUGH THE APP. You hereby waive all rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any country that demand an original signature or the delivery or retention of non-electronic records, or payment or credit granting by any means other than electronic methods.

These Terms of Use, together with any policies or operating rules that we may post on the App, represent the complete agreement and understanding between you and us. In the event that we fail to assert or enforce any right or term of these Terms of Use, such failure shall not constitute a waiver of such right or provision. These Terms and Conditions of Use apply to the fullest extent permitted by law. At any time, we may assign some or all of our rights and responsibilities to others. We shall not be accountable or responsible for any loss, damage, delay, or inaction caused by any cause beyond our reasonable control. If any provision of these Terms of Use is declared to be unlawful, void, or unenforceable, that provision or portion of a provision is deemed severable from these Terms of Use and has no effect on the legality and enforceability of the other terms. As a result of these Terms of Use or your use of the App, no joint venture, partnership, employment, or agency relationship exists between you and us. You agree that nothing in these Terms of Use will be construed against us only because we drafted them. You hereby waive any and all defenses you may have based on these Terms of Use being in electronic format and the parties hereto not signing these Terms of Use.
